Welcome to RCP America. The terms “we,” “us,” and “our” refer to RCP America, LLC (“RCP America”). RCP America operates this website and online store, including all related information, content, features, tools, products, and services (the “Services”), to provide you with information about and access to our professional detailing chemicals, training programs, and dealer and distributor network. Our online store is powered by Shopify, which enables us to process orders and payments for the Services.
The below terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services.
Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or our Privacy Policy, you should not use or access our Services.
Acess and Account
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state of residence, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase, or manage.
To use the Services — including browsing our online store, purchasing products, applying for a Wholesale, Distributor, or Private Label account, or booking a training class — you may be asked to provide certain information, such as your name, email address, billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current, and complete, and that you have all rights necessary to provide it.
You are solely responsible for maintaining the security of your account credentials and for all activity on your account. You may not transfer, sell, assign, or license your account to any other person.
Our Products
RCP America formulates, blends, and bottles professional-grade automotive detailing chemicals at our facility in Tampa, Florida. We have made every effort to provide an accurate representation of our products in our online store; however, color, texture, and appearance may vary from how a product appears on your screen due to your device and display settings.
We do not warrant that the appearance, packaging, or labeling of any product purchased by you will be identical to how it is depicted in our online store. Product formulations, packaging, and sizes are subject to change at any time without notice, and we may discontinue any product or limit the quantities we offer, on a case-by-case basis.
Products sold through the Services are intended for use in accordance with the instructions, warnings, and Safety Data Sheets provided for each product. See Section 9 below.
Orders
When you place an order, you are making an offer to purchase. RCP America reserves the right to accept or decline your order for any reason, at its discretion. Your order is not accepted until we confirm acceptance, and we must receive and process your payment before an order is accepted. Please review your order carefully before submitting it, as we may be unable to accommodate cancellation requests after an order has been accepted. If we do not accept, change, or cancel an order, we will attempt to notify you using the email address, billing address, or phone number provided at the time the order was placed.
Your purchases are subject to return or exchange solely in accordance with our Shipping & Returns policy.
Retail purchases made through our online store are for your own personal or business use and not for unauthorized resale. Customers seeking to purchase RCP America products for resale should apply for a Wholesale, Distributor, or Private Label account — see Section 7.
Prices and Billing
Prices, discounts, and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless expressly stated otherwise, posted prices do not include taxes, shipping, or handling charges. Wholesale, Distributor, and Private Label pricing is governed by the separate account terms described in Section 7 and is not reflected in retail pricing shown on the Services.
You agree to provide current, complete, and accurate purchase, payment, and account information, and to promptly update that information — including your billing address and payment details — so that we can complete your transactions and contact you as needed.
You represent and warrant that (i) any payment information you provide is true, correct, and complete, (ii) you are authorized to use the payment method provided, and (iii) you will pay all charges incurred at the posted prices, including applicable shipping charges and taxes.
Shipping and Delivery
All delivery times shown on the Services are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, weather, customs processing, or other events outside of our reasonable control. Once we transfer products to the carrier, title and risk of loss pass to you, except where our box truck route service delivers directly to your business — in which case risk of loss passes upon delivery to the location on file for your account.
Training Programs and Class Bookings
RCP America offers in-person and hybrid training classes covering detailing technique, product knowledge, and distributor and dealer sales training (the “Training Programs”). Scheduling and payment for Training Programs are processed through our third-party scheduling partner. Class pricing, cancellation windows, and rescheduling policies are set out at the time of booking and on our Training page.
RCP America reserves the right to reschedule, cancel, or modify class content, instructors, or location, and will make reasonable efforts to notify registered participants of any changes. We are not responsible for the acts, omissions, or platform availability of our third-party scheduling provider.
WHOLESALE, DISTRIBUTOR, AND PRIVATE LABEL PROGRAMS
RCP America offers Wholesale accounts, exclusive-territory Distributor partnerships, and Private Label manufacturing services (collectively, the “Trade Programs”) to qualifying businesses. Participation in any Trade Program is subject to a separate written agreement between you and RCP America covering matters such as territory, minimum order quantities, pricing, and account terms.
Submitting an inquiry or application for a Trade Program does not guarantee acceptance. RCP America reserves the right to approve, decline, condition, or terminate any Trade Program relationship in its sole discretion. Where these Terms of Service conflict with a signed Trade Program agreement, the Trade Program agreement will govern with respect to that relationship.
VAN BUILDS AND EQUIPMENT
RCP America offers van build-outs and equipment sourcing for mobile detailing operators. Van build orders, equipment installation, financing, and any related services are subject to separate quotes, deposits, timelines, and build agreements provided to you at the time of order, which supplement these Terms of Service.
SAFETY DATA SHEETS AND PRODUCT USE
Our products are intended for professional and consumer automotive detailing use in accordance with the instructions, warnings, and Safety Data Sheets (“SDS”) provided for each product, available through our Safety Data Sheets page. You are responsible for reading and following all label instructions and SDS guidance, including proper storage, handling, ventilation, ratios/dilution, and personal protective equipment.
RCP America is not responsible for injury, illness, property damage, or other loss resulting from use of our products contrary to label instructions, SDS guidance, or applicable safety regulations, or resulting from use by anyone other than a properly trained operator where training is recommended.
REWARDS AND LOYALTY PROGRAMS
Our Site and services are not directed to children under the age of 13, and we do not knowingly collect personal information from children under 13. If we become aware that we have inadvertently collected information from a child under 13, we will promptly delete it. If you believe we have collected such information, please contact us immediately.
INTELLECTUAL PROPERTY
Our Services, including all trademarks, brand names, text, images, graphics, product formulations, video, and audio, and the design, selection, and arrangement of the foregoing, are owned by RCP America, its affiliates, or its licensors, and are protected by U.S. and foreign patent, copyright, trade secret, and other intellectual property laws.
These Terms permit you to use the Services for your personal or business informational use only in connection with evaluating or purchasing RCP America products. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material from the Services without our prior written consent. Unauthorized use of the Services may violate federal and state intellectual property laws. All rights not expressly granted are reserved by RCP America.
RCP America's name, logo, product names, formulations, designs, and slogans are trademarks of RCP America and may not be used without our prior written permission. Shopify's name, logo, and related marks are trademarks of Shopify, Inc. All other names, logos, and marks appearing on the Services are the property of their respective owners.
OPTIONAL TOOLS
You may be given access to tools offered by third parties as part of the Services — for example, our class booking platform, product configurator, or checkout provider — which we do not control or monitor beyond our integration with them.
You acknowledge that we provide access to such tools “as is” and “as available,” without warranties of any kind and without endorsement. We have no liability arising from your use of any optional third-party tool. Any use of these tools is at your own risk, and you should review the relevant third party's own terms before using them.
THIRD-PARTY LINKS
The Services may contain links to websites operated by third parties, including our booking platform, social media channels, retail partners, and event registration pages. We are not responsible for examining or evaluating the content or accuracy of any third-party site, and we are not liable for any harm arising from your use of a third-party site. Complaints regarding third-party products or services should be directed to that third party.
RELATIONSHIP WITH SHOPIFY
Our online store's checkout, payment processing, and order management are powered by Shopify. Any sales you make through our Services are made directly with RCP America. By using the Services, you acknowledge that Shopify is not responsible for any aspect of the sale between you and RCP America, including any injury, damage, or loss resulting from purchased products, and you release Shopify and its affiliates from all claims arising from your purchases and transactions with RCP America.
Privacy Policy
All personal information we collect through the Services is subject to our Privacy Policy. Because portions of the Services are hosted by Shopify, Shopify also collects and processes certain information about your use of the Services in order to provide those services to us; that processing is described in Shopify's own privacy policy. By using the Services, you acknowledge that you have read our Privacy Policy.
Feedback
If you submit ideas, suggestions, product feedback, reviews, or similar content (“Feedback”), you grant RCP America a perpetual, worldwide, royalty-free license to use, reproduce, modify, publish, and display that Feedback for any purpose, including commercial use, such as improving our formulas or marketing our products. You represent that you own or have the rights to the Feedback you submit and that it will not violate any third party's rights.
We are under no obligation to keep Feedback confidential, to compensate you for it, or to respond to it, and we may monitor, edit, or remove Feedback we determine, in our discretion, to be unlawful, offensive, or otherwise objectionable.
ERRORS, INACCURACIES, AND OMISSIONS
Occasionally the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct any such errors and to change, update, or cancel orders based on inaccurate information at any time, including after an order has been submitted, without prior notice.
Prohibited Uses
You may access and use the Services for lawful purposes only. You may not use the Services to: violate any law or regulation; infringe our intellectual property rights or those of others; harass, abuse, or harm any person; transmit false or misleading information; send unsolicited advertising, spam, or chain letters; impersonate any person or entity; or engage in conduct that restricts or inhibits anyone else's use of the Services or that we determine may harm RCP America, Shopify, or other users.
You also agree not to: upload viruses or malicious code; scrape, extract, or resell any portion of the Services; collect or track others' personal information; or interfere with, bypass, or circumvent any security, authentication, or access-control measures we employ. We reserve the right to suspend, disable, or terminate your account at any time, without notice, if we determine you have violated these Terms.
AUTOMATED ACCESS AND AI AGENTS
This section applies if you use, enable, or cause the deployment of an automated agent — including an AI-driven or “agentic” tool — to access, use, or interact with the Services (an “Agent”).
No Agent may access, use, or interact with the Services unless it clearly identifies itself as an Agent in all requests (for example, by including “Agent/[agent name]” in its user-agent string), responds truthfully if asked whether it is automated, and does not attempt to mimic human behavior, bypass CAPTCHAs, or otherwise conceal that it is automated. We may block, limit, or otherwise restrict Agent access to the Services at any time, by technical or other means, and no Agent may circumvent such restrictions.
TERMINATION
We may terminate these Terms, your account, or your access to the Services, in whole or in part, in our sole discretion, at any time and without notice; you will remain responsible for all amounts due as of the date of termination. Sections of these Terms that by their nature should survive termination — including Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, and Governing Law — will continue to apply.
DISCLAIMER OF WARRANTIES
Information presented on the Services is provided for general informational purposes only, and we do not warrant its accuracy, completeness, or usefulness. Any reliance you place on such information is at your own risk.
EXCEPT AS EXPRESSLY STATED BY RCP AMERICA IN WRITING (INCLUDING ANY APPLICABLE PRODUCT WARRANTY), THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU IN FULL.
LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL RCP AMERICA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR SERVICE PROVIDERS — OR SHOPIFY AND ITS AFFILIATES — BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless RCP America, Shopify, and our respective affiliates, officers, directors, employees, agents, and service providers from any losses, damages, liabilities, or claims, including reasonable attorneys' fees, arising out of (1) your breach of these Terms, (2) your violation of any law or third-party right, or (3) your access to or use of the Services.
SEVERABILITY
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the unenforceable portion will be severed, without affecting the validity of the remaining provisions.
WAIVER; ENTIRE AGREEMENT
Our failure to enforce any provision of these Terms will not constitute a waiver of that provision. These Terms, together with any policies or program agreements referenced herein, constitute the entire agreement between you and RCP America regarding the Services and supersede any prior agreements or communications, whether oral or written.
ASSIGNMENT
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent, and any attempt to do so is void. We may assign or transfer these Terms, in whole or in part, without notice or consent.
GOVERNING LAW
These Terms of Service will be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. You and RCP America consent to the exclusive jurisdiction and venue of the state and federal courts located in Hillsborough County, Florida.
HEADINGS
Section headings in these Terms are included for convenience only and do not limit or otherwise affect these Terms.
CHANGES TO THESE TERMS OF SERVICE
We may update, change, or replace any part of these Terms of Service at any time by posting the updated Terms on our website. It is your responsibility to check this page periodically for changes. Your continued use of the Services after changes are posted constitutes your acceptance of those changes.
